About Alpha

Corporate Overview

Alpha Group is comprised of Alpha Exchange Inc. and Alpha Market Services Inc., each of which is wholly-owned by Alpha Trading Systems Limited Partnership ("Alpha LP").

Alpha Market Services Inc. provides technology services to Alpha Exchange, and acts as the market data distributor for Alpha Exchange. Alpha Market Services Inc. also provides technology product offering to third parties, such as Alpha's order routing service.

The general partner of Alpha LP is Alpha Trading Systems Inc., and its limited partner is TMX Group Limited (formerly Maple Group Acquisition Corporation) ("TMX Group"). TMX Group also holds all of the shares of Alpha Trading Systems Inc.

Listed below are the members of the Alpha Exchange Inc., Alpha Market Services Inc. and Alpha Trading Systems L.P. Board of Directors as of October 1st, 2012.

 

Board of Directors

Charles Winograd

President, Winograd Capital Inc.

Mr. Winograd will serve as the initial chair of the Board. Mr. Winograd is Senior Managing Partner of Elm Park Capital Management, a mid-market lending limited partnership, and is also President of Winograd Capital Inc., an external consulting and private investment firm.

Tom Kloet

Chief Executive Officer, TMX Group Inc.

Mr. Kloet was named CEO of TMX Group on July 14, 2008. Over the past four years, Mr. Kloet led the integration of Montréal Exchange into TMX Group to form a universal exchange group operating in multiple asset classes, directed numerous strategic investments and acquisitions, oversaw the introduction of high-performance technology for the benefit of customers and participating organizations, and introduced new products, services and markets in an increasingly competitive exchange sector.

Luc Bertrand

Vice Chair, National Bank Financial Group

Mr. Bertrand is Vice Chair of National Bank Financial Group, a position he assumed in February 2011. From May 2008 until June 2009, Mr. Bertrand was Deputy Chief Executive Officer of TMX Group and was also President and Chief Executive Officer of Montréal Exchange Inc., a position which he held since March 2000.

Denyse Chicoyne

Corporate Director

Ms. Chicoyne is a corporate director who was appointed to the  board of TMX Group Inc. (the “TMX Board) in May 2008. Ms. Chicoyne previously served on the board of directors of Montréal Exchange Inc. from 2007 to 2008.

Marie Giguère

Executive Vice-President, Legal Affairs and Secretariat, Caisse de depot et placement de Québec

Marie Giguère has been Executive Vice-President, Legal Affairs and Secretariat of Caisse since November 2010. Ms. Giguère has extensive experience in commercial and corporate law, as well as mergers and acquisitions.

George Gosbee

Chairman, President and Chief Executive Officer, AltaCorp Capital Inc.

Mr. Gosbee is the Chairman, President and Chief Executive Officer of AltaCorp Capital Inc. Prior to this, Mr. Gosbee was Chairman, President and Chief Executive Officer at Tristone Capital Global Inc., a global energy investment dealer with offices in Calgary, Denver, Houston, London and Buenos Aires that was purchased by Macquarie Bank in 2009.

William (Bill) Hatanaka

Corporate Director

Mr. Hatanaka is the former Group Head of the Global Wealth and Asset Management business for the TD Bank and has over 30 years of experience in the Banking and Wealth Management fields.

Jeffrey C. Heath

Executive Vice-President & Group Treasurer, Scotiabank Group

As Executive Vice-President & Group Treasurer, Jeff Heath is responsible for managing the Scotiabank Group's treasury and investment operations on a global basis, including the Bank's public and private investment portfolios, medium-term and capital funding, and overall asset and liability management.

Harry Jaako

President, Discovery Capital Management Corp.

Mr. Jaako was appointed to the TMX Board in August 2001. Mr. Jaako is the Executive Officer and a Director and Principal of Discovery Capital Management Corp. (‘‘DCMC’’) and is also President and a Director of British Columbia Discovery Fund (VCC) Inc., a British Columbia venture capital fund managed by DCMC.

William (Bill) Linton

Corporate Director

Mr. Linton served as the Executive Vice President Finance and Chief Financial Officer of Rogers Communications from 2005 until his retirement in July 2012.

Jean Martel

Senior Partner, Lavery, de Billy

Mr. Martel was appointed to the TMX Board in October 1999. Mr. Martel is a partner of Lavery, de Billy LLP, a Québec based law firm where Mr. Martel has been practicing securities, financial and regulatory law in Montreal since 1999.

William (Bill) Royan

Head of Relationship Investing, Ontario Teachers’ Pension Plan

Mr. Royan is head of Relationship Investing at Teachers’, a group which makes large, strategic investments in companies across the globe, across all industries.

Gerri Sinclair

Corporate Director, Digital Technologies Consultant

Ms. Sinclair, is a corporate director who was appointed to the TMX Board in April 2005. Ms. Sinclair was the Executive Director, Centre for Digital Media at Great Northern Way Campus (academic institution) from November 2006 to August 2010.

Kevin Sullivan

Deputy Chairman, GMP Capital Inc.

Mr. Sullivan, the Deputy Chairman of GMP, has been chosen as the representative of the independent investment dealer community on the Board.

Anthony Walsh

Director, Sabina Gold & Silver Corp.

Mr. Walsh has over 20 years of experience in the field of exploration, mining and development and was the President and CEO of Sabina Gold & Silver Corporation from 2008 to 2011.

Eric Wetlaufer

Senior Vice-President, Public Market Investments, Canada Pension Plan Investment Board

Mr. Wetlaufer is Senior Vice-President, Public Market Investments of CPPIB. Mr. Wetlaufer has over 20 years of experience in investment management, and is responsible for leading CPPIB’s Public Market Investments department which invests in publicly traded assets and related derivatives.

Tom Woods

Senior Executive Vice-President and Chief Risk Officer, Risk Management, Canadian Imperial Bank of Commerce

Mr. Woods is Senior Executive Vice-President and Chief Risk Officer, Risk Management for CIBC. Mr. Woods has spent his entire career with CIBC. Mr. Woods joined Wood Gundy, the predecessor firm of CIBCWM, in the Toronto Investment Banking Department in 1977.
